This website, pandapeptides.com (the “Site”), is owned and operated by Xylo Research Systems LLC, a California limited liability company doing business as Panda Peptides (“Panda Peptides,” “Company,” “we,” “us,” or “our”). By accessing the Site, creating an account, or placing an order, you (“Customer,” “Purchaser,” “you,” or “your”) agree to these Terms and Conditions (the “Terms”), together with the policies incorporated below.

Research Use Only

All products and product information offered by Panda Peptides are intended solely for lawful, controlled in vitro laboratory research. Products are not medicines or drugs and are not approved to diagnose, treat, cure, mitigate, or prevent any disease or medical condition.

Products are not for human or animal use or consumption and are not intended for therapeutic, diagnostic, food, drug, medical-device, cosmetic, household, recreational, or other prohibited purposes. Articles, product descriptions, laboratory reports, and other Site content are provided for research information and documentation only and are not medical advice, treatment guidance, or instructions for a prohibited use.

Panda Peptides does not represent that any product has been sterilized or evaluated for safety or efficacy for human, veterinary, therapeutic, diagnostic, or other prohibited use. Customers are responsible for evaluating handling hazards, conducting any additional research required for their lawful application, and determining whether possession and use are permitted under all applicable laws and regulations.

Eligibility and Buyer Representations

You must be at least 21 years old to use the Site or place an order. Products may be purchased and handled only by qualified, properly trained research or laboratory professionals for legitimate research activity.

By placing an order, you represent and warrant that:

• You are at least 21 years old and legally able to enter into these Terms.
• Your purchase supports lawful research through a laboratory, institution, university, company, or other qualified research setting.
• You understand the applicable laws, safety risks, storage requirements, exposure controls, industrial-hygiene practices, and disposal requirements associated with the products.
• You will not use, provide, market, or distribute any product for human or animal consumption or for a therapeutic, diagnostic, recreational, or other prohibited purpose.
• The information you provide, including identity, billing, shipping, and intended-use information, is accurate and complete.

We may request verification, limit quantities, delay fulfillment, cancel an order, suspend an account, or refuse a sale when age, buyer qualifications, payment, shipping information, lawful intended use, or compliance with these Terms cannot be confirmed. Communications or conduct indicating prohibited use may result in refusal of service.

Orders, Pricing, and Payment

Prices are stated in U.S. dollars and are effective when an order is accepted. We may correct errors, inaccuracies, or omissions and may update product information, pricing, availability, discounts, shipping methods, or payment methods without prior notice. Payment must be received and verified before an order is accepted for fulfillment.

You are responsible for reviewing the products, quantities, shipping address, available documentation, taxes, and total shown at checkout before submitting payment. You are also responsible for understanding and complying with the requirements of your jurisdiction, including any licensing, registration, import, tax, or research restrictions.

Submission of an order does not require us to accept or fulfill it. We may reject or cancel an order and issue any required refund when inventory, payment, fraud, qualification, compliance, shipping, or other operational concerns prevent lawful fulfillment.

Order Finality, Shipping, and Returns

Orders may not be cancelled after payment has been processed unless Panda Peptides agrees in writing or cancellation is required by applicable law. Once an order has shipped, it cannot be cancelled and products cannot be returned, restocked, or re-certified after leaving our chain of custody.

Damaged, incorrect, lost, or verified out-of-specification orders are handled under our Política de devoluciones, including its reporting deadlines and documentation requirements. Shipping methods, delivery expectations, address responsibilities, and carrier limitations are described in our Política de envíos. These policies are incorporated into these Terms.

If communications or conduct indicate prohibited use, fraud, abuse, or a violation of these Terms, we may refuse the sale, stop fulfillment where feasible, suspend or terminate the account, and take other reasonable enforcement steps.

Product Use and Restrictions

No product purchased from Panda Peptides may be treated as a food, drug, medical device, cosmetic, or consumer product. Under no circumstances may a product be used for human or animal consumption, therapeutic or diagnostic purposes, recreation, or any unlawful application.

You are solely responsible for independently evaluating hazards and for properly testing, handling, storing, using, transporting, and disposing of products in compliance with applicable laws and accepted laboratory practices. Any material produced with a product must not be adulterated, misbranded, or introduced into commerce in violation of applicable law.

Panda Peptides assumes that purchasers are familiar with the materials ordered. We do not provide instructions or recommendations for human or veterinary use, dosing, administration, preparation for consumption, or any other prohibited application. Listing a material on the Site does not grant a license or recommendation to use it in infringement of any patent or other right.

Warranties, Liability, and Indemnity

THE SITE, CONTENT, SERVICES, AND PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. PANDA PEPTIDES DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, COMPLETENESS, ACCURACY, AND TIMELINESS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PANDA PEPTIDES AND ITS MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, USE, OR GOODWILL; OR DAMAGES ARISING FROM UNAUTHORIZED ACCESS, SITE INTERRUPTION, OR A PURCHASER’S HANDLING, POSSESSION, STORAGE, OR USE OF A PRODUCT. PANDA PEPTIDES’ AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNT PAID FOR THE SPECIFIC PRODUCT OR TRANSACTION GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless Panda Peptides and its members, managers, officers, directors, employees, agents, suppliers, and affiliates from claims, losses, liabilities, damages, and reasonable expenses arising from your breach of these Terms, violation of law or third-party rights, or handling, possession, distribution, or use of a product inconsistent with its intended research purpose. This obligation does not apply to claims arising solely from Panda Peptides’ gross negligence or willful misconduct.

Site Use and Intellectual Property

You may use the Site only for lawful inquiries, account activity, and transactions relating to Panda Peptides products and services. Except for limited personal, non-commercial use that preserves proprietary notices, you may not copy, modify, distribute, reproduce, publish, license, sell, mirror, scrape, interfere with, or exploit the Site or its content without our written permission.

The Panda Peptides name and the Site’s text, graphics, photographs, laboratory-document presentation, logos, artwork, software, design, and other content are owned, controlled, or licensed by Panda Peptides and are protected by applicable intellectual-property laws.

Links to third-party websites are provided for convenience or verification. We do not control or guarantee third-party sites, their availability, their content, or their services. We may suspend, modify, or discontinue any part of the Site without liability, subject to our obligations concerning accepted orders.

Privacy and Communications

Our collection and use of personal information are described in our Política de privacidad, which is incorporated into these Terms.

We may send transactional and operational communications concerning an order, payment, shipping, account, or support request as permitted by law. If you voluntarily opt in to optional SMS, we may send order-related and customer-service text messages. Consent to optional SMS is not a condition of purchase. Message frequency varies and message and data rates may apply. Reply STOP to opt out of optional SMS or HELP for help. Checkout SMS consent does not authorize recurring general marketing texts; any future marketing-SMS program would require separate consent.

You may unsubscribe from promotional email using the link provided in the message. Opting out of promotional messages does not prevent non-promotional communications about your account, transactions, fulfillment, security, or support.

Dispute Resolution

Before filing a claim, you agree to provide written notice to support@pandapeptides.com and attempt in good faith to resolve the dispute for 30 days.

Small Claims. Either party may bring an individual action in a court of competent small-claims jurisdiction for a dispute of $10,000 or less.

Binding Arbitration. Except for an eligible small-claims action or a valid arbitration opt-out, any dispute exceeding $10,000 that arises from these Terms, use of the Site, or a purchase will be resolved by final and binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures. A single arbitrator will conduct the arbitration in Sacramento County, California. Judgment on the award may be entered in any court of competent jurisdiction.

Each party will bear its own costs and attorneys’ fees unless the arbitrator awards costs or fees as permitted by law. If you demonstrate that arbitration costs would be prohibitive compared with litigation, Panda Peptides will pay the filing or hearing fees the arbitrator determines are necessary to prevent arbitration from being cost-prohibitive.

Arbitration Opt-Out. You may opt out of arbitration by sending written notice to support@pandapeptides.com within 30 days of your first purchase. The notice must include your name, address, and a clear statement that you opt out of binding arbitration.

Individual Proceedings and Jury Waiver. To the fullest extent permitted by law, disputes will proceed only on an individual basis and not as a class, consolidated, or representative action. For any dispute heard in court, each party waives the right to a jury trial to the fullest extent permitted by law.

Time Limit. To the fullest extent permitted by law, any claim arising from these Terms, use of the Site, or a purchase must be filed within one year after the claim accrues or it is permanently barred.

Governing Law and General Terms

These Terms are governed by California law without regard to conflict-of-law principles. Any dispute not subject to arbitration or eligible small claims, and any court proceeding to enforce an arbitration award, must be brought in the state or federal courts located in Sacramento County, California. You consent to personal jurisdiction and venue in those courts.

Panda Peptides and Site users are independent contractors; no agency, partnership, employment, fiduciary, or similar relationship is created. We are not liable for delay or failure caused by events beyond our reasonable control, including carrier delays, backorders, service outages, natural disasters, public emergencies, civil unrest, or government action. If such a delay prevents shipment for more than 30 days, you may request cancellation and a refund.

If any provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. These Terms and the policies incorporated by reference constitute the complete agreement concerning Site use and purchases and supersede prior understandings on that subject.

We may update these Terms for operational, legal, or regulatory reasons by posting the revised version and changing the “Last updated” date. Changes apply prospectively unless applicable law requires otherwise.
